Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") are an agreement between you and Cedar Orbit Labs Inc. ("Cedar Orbit Labs," "Nimbent," "we," "us," or "our") governing your access to and use of the Nimbent mobile application, website, support services, and related services (collectively, the "Service").

By downloading, installing, accessing, purchasing, subscribing to, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. What Nimbent Provides

Nimbent is drone operations software for organizing jobs, clients, flight records, equipment, batteries, maintenance, checklists, incidents, exports, and support.

The Service may include manual flight records, supported file imports where available, cloud sync, maps, weather, radar, geocoding, traffic layers, support chat, exports, and generated reports. Features may vary by platform, account status, subscription status, country, provider availability, and app version.

4. Accounts And Eligibility

You must be able to form a binding agreement and comply with applicable laws to use the Service. You are responsible for the accuracy of account information, maintaining the security of your login credentials, and all activity under your account.

We may suspend or terminate access if we reasonably believe your account is being used unlawfully, fraudulently, abusively, or in violation of these Terms.

5. Subscriptions, Trials, Billing, And Refunds

• Nimbent may offer free features and paid features, including Nimbent Pro.
• Mobile subscriptions are purchased through Apple App Store or Google Play. Store terms apply to purchases, renewals, cancellations, refunds, taxes, and payment disputes.
• RevenueCat helps us determine whether your account has an active entitlement. Access to paid features depends on a valid store purchase and active entitlement.
• If a free trial is offered, the store may charge the subscription price when the trial ends unless you cancel before the deadline shown by the store.
• You can cancel through the store account that made the purchase. Deleting the Nimbent app or deleting your Nimbent account does not cancel Apple or Google billing.
• Refund requests must be directed to Apple or Google unless we expressly tell you otherwise.
• Prices, features, and subscription availability may change, subject to applicable store rules and notice requirements.

6. Data, Export, Deletion, And Retention

Your use of the Service is governed by our Privacy Policy. Signed-in users can use Settings > Export My Data to create a local export of core app data before account deletion.

Account deletion removes or queues removal of Nimbent-controlled account data according to our deletion workflow, subject to retention for legal, billing, tax, fraud-prevention, security, dispute, abuse-prevention, provider-policy, or operational reasons. Store billing records and provider logs may remain with Apple, Google, RevenueCat, Firebase, Brevo, Anthropic, or other providers according to their policies.

7. Flight Logs, Imports, And Manufacturer Files

Nimbent supports manual flight records and supported imports where files are available through normal operating-system workflows. Nimbent does not guarantee that logs from every manufacturer, aircraft, app version, region, or file format can be imported or parsed correctly.

Modern Android versions restrict third-party access to private app folders, including folders used by DJI Fly and other manufacturer apps. Nimbent does not silently access those private folders when the operating system blocks access. If a file is not available through a normal share, export, or file-picker workflow, manual records remain the supported workflow.

Imported data may contain source-app calculations, units, altitude references, sensor values, derived fields, or incomplete telemetry. You are responsible for reviewing and correcting records before relying on them for regulatory, insurance, client, safety, or operational purposes.

8. Reports, Compliance, And Insurance Materials

Nimbent may help organize records and, where supported, generate exports, summaries, incident reports, insurance-related records, checklists, or compliance-support documents. These materials are for organization and reference only. They are not official regulatory filings, legal advice, insurance advice, aviation advice, or proof of compliance.

You remain responsible for submitting any required reports to Transport Canada, the TSB, insurers, clients, employers, law enforcement, or other required parties.

9. Support Chat And AI Assistance

Nimbent may provide support chat or support assistance powered by Anthropic or other AI providers. AI-assisted responses are informational only and may be incomplete, outdated, or wrong.

• Do not treat AI or support responses as legal, regulatory, aviation, weather, insurance, or safety advice.
• Do not send passwords, full payment card details, government ID numbers, or unrelated sensitive information through support chat.
• Support chat may be rate-limited, unavailable, logged, or reviewed to troubleshoot issues, prevent abuse, and improve support quality.

10. Third-Party Services

The Service depends on third-party providers, including Apple, Google, Firebase, RevenueCat, Brevo, Anthropic, weather providers, aviation-weather sources, map/geocoding providers, traffic data providers, and other infrastructure providers.

We are not responsible for third-party service availability, terms, pricing, data, latency, outages, inaccuracies, or decisions. Your use of third-party services may be subject to their own terms and policies.

11. Acceptable Use

You agree not to:

• Use the Service for unlawful, unsafe, fraudulent, abusive, or unauthorized drone operations.
• Create false or misleading operational records, reports, subscriptions, accounts, or support requests.
• Upload content you do not have the right to use or that violates law, privacy, confidentiality, intellectual property, or third-party rights.
• Attempt to bypass subscriptions, entitlements, security controls, rate limits, App Check, authentication, or access controls.
• Reverse engineer, scrape, overload, interfere with, or gain unauthorized access to the Service or related systems.
• Use the Service to transmit malware, harmful code, spam, or abusive content.

12. Your Content And Feedback

You retain ownership of content and records you create, upload, import, or store through the Service. You grant us a limited license to host, process, transmit, display, copy, and use that content as needed to provide, secure, support, and improve the Service.

If you provide feedback, suggestions, or ideas, you allow us to use them without restriction or compensation.

13. Intellectual Property

The Service, including software, design, names, logos, documentation, and related materials, is owned by Cedar Orbit Labs Inc. or its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for your personal or internal business operations.

14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, error-free operation, data accuracy, provider availability, regulatory outcome, safety outcome, and suitability for any particular drone operation.

15. Limitation Of Liability

To the maximum extent permitted by law, Cedar Orbit Labs Inc. and its directors, officers, employees, contractors, agents, affiliates, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits; lost revenue; lost data; business interruption; aircraft, battery, equipment, or property loss; personal injury; regulatory penalties; insurance denials; or third-party claims arising from or related to your use of the Service.

To the maximum extent permitted by law, our total liability for any claim related to the Service will not exceed the amount you paid to Nimbent for the Service in the 12 months before the event giving rise to the claim, or CAD $100 if you paid nothing.

16. Indemnity

You agree to defend, indemnify, and hold harmless Cedar Orbit Labs Inc. from claims, damages, losses, liabilities, costs, and expenses arising from your use of the Service, your drone operations, your content, your violation of these Terms, or your violation of law or third-party rights.

17. Changes, Suspension, And Termination

We may change, suspend, limit, or discontinue features or the Service at any time. We may suspend or terminate your access if you violate these Terms, create risk for the Service, fail to maintain a required entitlement for paid features, or use the Service unlawfully or abusively.

18. Governing Law

These Terms are governed by the laws of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law principles. Courts located in Ontario will have exclusive jurisdiction, except where applicable consumer law requires otherwise.
